Welcome to The Virtual Accounting ("Platform," "we," "us," or "our"), owned and operated by Viabx Innovations Private Limited, a company incorporated under the laws of India. By accessing or using our Platform at thevirtualaccounting.com, you ("User," "you," or "your") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use our services.

The Virtual Accounting is a secure online client portal that enables users to:

• Submit financial, accounting, and business-related information
• Recharge a digital wallet using coins
• Redeem coins for accounting services including bookkeeping and accounting entries
• Access record-keeping and compliance support services

Important: We provide accounting and record-keeping services only. We do not offer financial advisory, tax planning, investment advice, or any regulated financial services.

You must:

• • Be at least 18 years of age or the age of majority in your jurisdiction

• • Represent a business entity with proper authorization if registering on behalf of a company

Users may be onboarded from India, GCC countries, and other international jurisdictions. By using our Platform, you confirm compliance with laws applicable in your jurisdiction.

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access or security breach
• You are liable for all activities conducted through your account
• We reserve the right to suspend or terminate accounts that violate these Terms

• Users recharge their digital wallet by purchasing coins through approved payment methods
• Coin purchases are final and non-reversible once credited to your wallet
• Coin values and pricing may be updated from time to time with reasonable notice

• Coins are redeemed for specific accounting services as described on the Platform
• Coin redemption is subject to service availability
• Coins are non-transferable and cannot be exchanged for cash

• Coins may have an expiry period as communicated during purchase
• Unused coins may be forfeited upon account termination or as per applicable policies

You agree not to:

• Upload false, misleading, or fraudulent information
• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other user accounts
• Interfere with or disrupt the Platform's functionality
• Use automated tools or bots to access the Platform without permission
• Reverse engineer, decompile, or extract source code from the Platform
• Violate any applicable local, national, or international laws

• Our services are limited to bookkeeping, accounting entries, and record-keeping
• We do not provide legal, tax, financial, or investment advice
• Information provided through the Platform does not constitute professional advice
• You are responsible for ensuring compliance with tax and regulatory obligations in your jurisdiction
• Services are provided "as is" without warranties of any kind, express or implied

• You are solely responsible for the accuracy, completeness, and legality of data submitted
• We are not liable for errors, omissions, or consequences arising from inaccurate data
• You grant us a limited license to use submitted data solely for providing services to you

• All content, trademarks, logos, and materials on the Platform are owned by Viabx Innovations Private Limited or licensed to us
• You may not reproduce, distribute, or create derivative works without our prior written consent
• Your data and documents remain your property; we claim no ownership over submitted materials

• Coin purchases are generally non-refundable once credited to your wallet
• Refunds may be considered on a case-by-case basis for technical errors or service failures
• Service cancellations do not automatically entitle you to refunds; unused coins may remain in your wallet subject to expiry terms

We reserve the right to suspend or terminate your account:

• For violation of these Terms
• For fraudulent or illegal activities
• For non-payment or breach of payment obligations
• At our discretion with reasonable notice for operational reasons

Upon termination, your access to the Platform and unused coins may be forfeited.

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, consequential, or punitive damages
• Our total liability for any claim shall not exceed the amount paid by you in the preceding 12 months
• We are not responsible for delays, service interruptions, or losses caused by factors beyond our reasonable control

You agree to indemnify and hold harmless Viabx Innovations Private Limited, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Violation of these Terms
• Infringement of third-party rights
• Any data or content you submit

We shall not be liable for failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, natural disasters, internet failures, or labor disputes.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on the Platform. Continued use after modifications constitutes acceptance of revised Terms. Material changes will be communicated via email or Platform notification.

These Terms are governed by the laws of India, without regard to conflict of law principles.
Any disputes arising from these Terms or use of the Platform shall be:

1. First attempted to be resolved through good faith negotiations
2. Arbitration shall be conducted in English in Courts in Jaipur, Rajasthan, India
3. Courts in Jaipur, Rajasthan, India shall have exclusive jurisdiction

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Viabx Innovations Private Limited regarding use of the Platform.
